  1. Governance Roles

Gitcoin Council

Leading our Stewards and Delegators

Note: This is an experimental process, and the success of the Council will be evaluated after Q2, 2025.

Responsibilities

Council members serve as core decision-makers in Gitcoin's governance process, and carry the following two primary mandates:

  1. Core Governance

    1. Active Participation: Must maintain 90% vote participation rate and provide written rationale for major decisions. Regular attendance at delegate coordination calls is required.

    2. Governance Innovation: Share insights and suggestions for governance improvements, with a goal of contributing meaningful enhancements to our processes and documentation each quarter.

    3. Budget Oversight: Review and approve community round budgets, providing detailed allocation rationales to ensure transparent fund management.

    4. Strategic Planning: Participate in quarterly governance reviews and help shape Gitcoin’s long-term vision through regular strategic input and ecosystem analysis.

  2. Lead the GG Community Rounds Decision-making

We have moved to a more decentralized future for Gitcoin Grants where we have begun to involve the community directly in vital decision-making when it comes to the community rounds that Gitcoin funds each quarter during GG rounds. The council’s responsibilities include:

    1. Review and vote on GG community round proposals

    2. Collaborate on GG community round retrospectives (optional)

Additional responsibilities may include:

  • Participating in governance discussions on the forum and in live delegate calls.

  • Reviewing, evaluating, and voting on Gitcoin Governance (GG) proposals, including budget allocations and community grants.

  • Providing oversight and strategic direction for Gitcoin's governance evolution and funding distribution.

  • Contributing to the ratification of Gitcoin’s DAO Constitution and ensuring alignment with the DAO’s governance framework.

  • Driving governance innovation by iterating on processes and improving decision-making mechanisms.

  • Collaborating on DAO-to-DAO partnerships and broader ecosystem initiatives.

  • Maintaining transparency and accountability through regular reporting on governance activities.

Evaluation Criteria

Council members are expected to maintain a high level of participation and effectiveness. They will be assessed based on:

  • Voting Participation: Maintaining at least 90% voting engagement across major governance proposals.

  • Governance Contributions: Actively contributing to discussions, retrospectives, and improvement of governance processes.

  • Transparency & Reporting: Providing updates on governance activities and ensuring accountability.

  • Engagement with the Gitcoin Community: Demonstrating responsiveness to feedback and participation in governance-related discussions.

  • Strategic Impact: Effectively guiding Gitcoin’s governance direction and ensuring sustainable growth.

Qualifications

What skills or experience are needed to perform this role effectively?

Basic Requirements:

  • Self-delegated GTC token holder or delegated GTC by another holder.

  • Active participant in the Gitcoin ecosystem, with a vested interest in the DAO’s success.

  • Willingness to commit time to governance participation and oversight (estimated ~3 hours per week).

Preferred Qualifications:

  • Prior governance experience: Served as a delegate or steward in other Web3 projects or DAOs.

  • DAO Operational Knowledge: Familiarity with decentralized governance, treasury management, and incentive design.

  • Strategic & Financial Acumen: Understanding of funding structures, resource allocation, and long-term planning.

  • Community Leadership: Experience driving engagement and decision-making in decentralized ecosystems.

  • Technical Expertise (bonus): Experience with Web3 tooling (e.g., Snapshot, Gnosis Safe, Tally, Discourse) and governance frameworks.
